Transportation Policy: F.O.B. our U.S.A. plant locations and our Distribution Center. Freight will be prepaid on orders valued at $7,500 or more, calling for single shipment – single destination, within the Continental U.S. boundaries, using lowest tariff on all products. |

Acceptance: Buyer shall notify Seller of any error, defect, or shortage of any items received by Buyer, in writing, within 30 calendar days of invoice date. Failure to provide Seller with written notice within the prescribed time frame obligates Buyer to have waived such errors, defects or shortages and to have accepted Buyer’s items as delivered. |

Product Modification: Switchboard matting is available in full rolls. Custom cut lengths available at a $1.00 per cut. First cut – no charge. Roll lengths are a nominal 25 yards, plus or minus 5%. We reserve the right to ship plus or minus 5% on full roll orders. Insulated Jumper and Grounding Cable reels are a nominal 500 ft, plus or minus 5%. |

Specifications: Salisbury Electrical Safety L.L.C. complies with applicable ASTM and IEC standards where applicable. Special manufacture/custom product to include non-published items will be subject to special manufacturing parameters (e.g., rack run) established at time of order. Customer must accept special order parameters prior to order acceptance by Salisbury Electric Safety L.L.C. Rubber Insulating Sleeves rated at Class 2 (20kV), Class 3 (30kV), and Class 4 (40kV) are only guaranteed if tested on acceptance by using the “straight test method” – Per ASTM D1051. |

Non Standard or Special Items: Products built to forecast or for stock are considered standard items. Items built for specific Buyer’s requirements, even though outlined in Seller’s catalog, are considered non standard. Orders for these items will be accepted on a non-cancelable, non-returnable basis. The quantity manufactured, shipped, and invoiced may vary by 10% above or below the ordered quantity, and the order will be considered as shipped complete without further consequence. |

Returned Goods: Authorization for return of merchandise must be obtained in writing from Salisbury Customer Service. A restocking charge of 25% will apply on all material returned for credit, provided such goods are in saleable condition. Custom products, discontinued items, branded gloves, specialty items, etc., may not be returned for credit. Products may not be returned more than 12 months after original sale. Contact Customer Service for a copy of Salisbury’s Return Goods Policy. Return Authorizations must be returned to Salisbury within 30 days of authorization date. |

Warranties: Limited Warranty and Disclaimer of All Other Warranties.
(a) Seller warrants for a period of twelve (12) months from the date of shipment of the products (the “product warranty period”) that the products (i) meet or exceed the written specifications provided by Seller for the products and (ii) are free of material defects in design or workmanship. services shall be performed in a good workmanlike manner consistent with industry practices and are warranted for ninety (90) days. Products provided by third parties are sold “as is” unless integrated into Seller’s products. Buyer’s exclusive remedy in connection with these express warranties is the repair or replacement of the products or the re-performance of services or, at Seller’s option, a refund of the purchase price, if any, actually paid by Seller for the nonconforming products or services. Warranty relief does not extend the duration of any limited warranty. In the event that Buyer is to obtain a refund of the purchase price, Buyer shall first ship the products subject to the refund to Seller and transfer title to said products to Seller as soon as practicable.
(b) Except for the express limited warranty set forth in Section 7(a), Seller makes no express or implied warranties in this agreement or otherwise. to the fullest extent permitted by law, Seller disclaims all warranties, written, express or implied, including all warranties of merchantability and/or fitness for a particular purpose. Seller expressly disclaims any and all liability to Buyer for any consequential damages, damages for loss of use, loss of profits, income, or revenue, loss of time or inconvenience, loss or damage to associated equipment, uptime, cost of substituted or replacement equipment, loss to facilities, loss of capital, loss of services or cost of replacement power, or any other incidental, economic, consequential or special damage arising out of this agreement or the operation, function or characteristics of the products or services purchased hereunder or otherwise provided by seller. it is expressly understood that the limited warranty afforded Buyer is the sole and exclusive remedy of Buyer. |
